Terms of Service

To access most features of the Services, you must register for an account by providing accurate, current, and complete information. You agree to update your account information promptly to keep it accurate and complete.

You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account, whether or not authorized by you.
• Notifying us immediately at hello@goldeneggs.co if you suspect any unauthorized access to your account.
• Using strong, unique passwords and enabling multi-factor authentication where available.

We will not be liable for any loss or damage arising from your failure to comply with these security obligations.

We may offer individual and organizational accounts. If you create or manage an organizational account, you are responsible for the actions of all users within that organization and for ensuring that all users comply with these Terms.

You may use the Services only for lawful business purposes and in accordance with these Terms.

You agree NOT to:

• Misrepresent AI Outputs as human professional advice (e.g., legal, financial, medical, or tax advice) to third parties without appropriate disclaimers.
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code, algorithms, or underlying models of the Platform.
• Attempt to bypass, disable, or circumvent any security features, access controls, rate limits, or usage restrictions.
• Use prompt injection, adversarial inputs, or other techniques to manipulate the AI into producing harmful, misleading, illegal, or unintended outputs.
• Use automated tools, bots, scrapers, or crawlers to extract data from the Platform, except as expressly permitted by our API terms.
• Resell, sublicense, redistribute, or commercially exploit the Services or any AI-generated content as a standalone competing product without our written consent.
• Upload, transmit, or share content that infringes on the intellectual property, privacy, or other rights of any third party.
• Use the Services to develop, support, or promote activities that are illegal, fraudulent, deceptive, discriminatory, or harmful to others.

We reserve the right to investigate and take appropriate action against any violations, including suspending or terminating your account, removing content, and reporting violations to law enforcement authorities.

Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Annual plans may offer a discounted rate.

• You must provide a valid payment method. By providing payment information, you authorize us to charge all fees incurred through your account.
• We may change our prices with at least 30 days' prior written notice. Price changes will take effect at the start of your next billing cycle.
• All fees are exclusive of applicable taxes (including sales tax, VAT, and GST), which you are responsible for paying.
• Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

We may offer free trials at our discretion. At the end of a free trial, your account will automatically convert to a paid subscription unless you cancel before the trial period expires. We will notify you before charging your payment method.

You may cancel your subscription at any time through your account settings or by contacting us at hello@goldeneggs.co.

• Cancellations take effect at the end of the current billing period. You will retain access to the Services until the end of your paid term.
• We do not provide prorated refunds for partial billing periods unless required by applicable law.
• Annual subscriptions may be eligible for a prorated refund within the first 30 days if you are unsatisfied with the Services.

You retain all ownership rights in the content, data, business information, and materials you upload, submit, or input into the Platform ("Your Content"). You are solely responsible for the accuracy, legality, and appropriateness of Your Content.

By submitting Your Content to the Platform, you grant us a limited, non-exclusive, worldwide, royalty-free license to process, store, and display Your Content as necessary to provide the Services to you, and to use de-identified and aggregated data for analytics and service improvement.

This license terminates when you delete Your Content or close your account, except for de-identified and aggregated data and any copies required for legal compliance.

• Subject to these Terms, you are granted a non-exclusive, perpetual license to use AI Outputs for your internal business purposes.
• AI Outputs are generated using models that serve multiple users. Similar or identical outputs may be provided to other users with similar inputs.
• AI Outputs are provided 'as is' and may contain errors or inaccuracies. You are responsible for independently verifying all AI Outputs before relying on them.

All rights, title, and interest in and to the Platform — including our AI models, algorithms, software, user interface, trademarks, and documentation — are and shall remain the exclusive property of GoldenEggs and its licensors. Nothing in these Terms grants you any right in our intellectual property except as expressly stated herein.

You acknowledge and agree that:

• Not Professional Advice: AI-generated coaching is not a substitute for advice from licensed attorneys, accountants, financial advisors, or other qualified professionals.
• Limitations of AI: AI systems have inherent limitations, including potential biases in training data and the possibility of generating incorrect or misleading information.
• No Fiduciary Duty: We do not owe you a fiduciary duty. Our relationship is that of a technology service provider and customer.
• No Guaranteed Outcomes: We make no guarantees regarding business results, revenue growth, profitability, or any other specific outcomes from following AI coaching suggestions.

Your interactions with the AI coaching system are processed in accordance with our Privacy Policy. By using the Services, you consent to the processing of your inputs by our AI systems and, where applicable, by third-party AI infrastructure providers operating under data processing agreements with us.

You agree to indemnify, defend, and hold harmless GoldenEggs, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services in violation of these Terms.
• Your Content or any data you submit to the Platform.
• Your violation of any applicable law, rule, or regulation.
• Your reliance on AI Outputs for business decisions without appropriate independent verification.

We will indemnify, defend, and hold you harmless from third-party claims alleging that the Platform (excluding Your Content and AI Outputs) infringes a valid patent, copyright, or trademark, provided that you give us prompt notice and reasonable cooperation.

Our total cumulative liability to you for all claims arising out of or related to these Terms or the Services shall not exceed the greater of: (A) the total amount paid by you to us during the twelve (12) months immediately preceding the event giving rise to the claim, or (B) one hundred U.S. dollars ($100).

We shall have no liability for any damages or losses arising from your reliance on AI Outputs, including but not limited to business decisions, investments, hiring decisions, or strategic pivots. You acknowledge that AI Outputs are informational tools and that you bear sole responsibility for your business decisions.

You may terminate these Terms at any time by canceling your subscription through your account settings, deleting your account, or ceasing all use of the Services.

We may suspend or terminate your access to the Services, in whole or in part, at any time, including if you breach any provision of these Terms, fail to pay any fees when due, or your use poses a security risk to the Platform or other users.

• Your right to access and use the Services will immediately cease.
• We will make Your Content available for export for a period of 30 days following termination, after which it may be permanently deleted.
• All provisions that by their nature should survive termination shall survive, including Sections 7, 9, 10, 11, 12, 14, and 15.

Before initiating any formal dispute resolution proceeding, you agree to first contact us at hello@goldeneggs.co to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days of receiving your notice.

If a dispute is not resolved informally, any controversy or claim arising out of or relating to these Terms or the Services shall be settled by binding arbitration. The arbitration shall be conducted in English and the arbitrator's decision shall be final and binding.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
